WASHINGTON & LEE LAW — Washington and Lee law professor Karen Woody, along with coauthor Angela Aneiros of Gonzaga Law School, has published an article in the American University Law Review. The article, “Caremark’s Butterfly Effect,” explores the landmark Caremark decision, which held that corporate board directors would not face liability for a breach of fiduciary duties unless they failed to implement a system of controls and compliance, or knowingly failed to monitor that system.
