In fact, in one of today’s most high-profile courtroom battles, the shareholders of TripAdvisor.com cited the University of Virginia School of Law scholar for observations she made more than a decade ago: Nevada has deliberately created a legal Wild West in order to entice more companies to incorporate in the Silver State instead of Delaware, where half of businesses are incorporated. And some “controlling shareholders” — including corporate titans such as Elon Musk — are heeding the call.
